Terms of Use I. General Provisions Scope of Application: These Terms of Use apply to all users who conduct transactions on this cross-border e-commerce platform (hereinafter referred to as the "Platform"), including but not limited to sellers and buyers. Whether you are browsing the Platform's information, registering an account, publishing products, purchasing products, or engaging in any other activities that use the Platform's services, you will be bound by these terms. Definition and Explanation "Platform": Refers to the cross-border e-commerce platform operated by [Name of the Platform Operator], including but not limited to the official website of the Platform, mobile applications, etc., which aims to provide an online venue for buyers and sellers to conduct product transactions and related services. "Seller": Refers to a user who registers and opens a store on the Platform, publishes product or service information, and sells products or provides services to buyers. "Buyer": Refers to a user who browses product or service information on the Platform and places orders to purchase products or services through the Platform. "Products": Include tangible products displayed and sold by sellers on the Platform, as well as intangible digital products, services, etc. Acceptance of Terms: When you first use the Platform's services, including but not limited to registering an account, browsing products, conducting transactions, etc., it shall be deemed that you have carefully read, fully understood, and completely accepted these Terms of Use and other relevant policies and rules updated by the Platform from time to time. If you do not agree with any content of these terms, please do not use the Platform's services. Change of Terms: The Platform has the right to modify or update these Terms of Use at any time according to changes in laws and regulations, business development needs, market conditions, and other factors. The revised terms will be publicly announced on the Platform for a period of not less than [X] days. If you continue to use the Platform's services after the terms are changed, it shall be deemed that you accept the changed terms; if you do not agree with the changed terms, you have the right to stop using the Platform's services. II. Account Registration and Use Registration Requirements: Seller Registration: When registering, sellers are required to provide true, accurate, and complete corporate or individual information, including but not limited to the business license of the enterprise, the identity certificate of the legal representative, contact information, store name, business scope, etc. Individual sellers are required to provide information such as their real name, ID number, and contact information. If there are any changes to the registration information, it should be updated on the Platform in a timely manner. Buyer Registration: When registering, buyers are required to provide true and valid personal information, including name, contact information, shipping address, etc. Buyers are encouraged to set an account password with a high security level and keep it properly to avoid the leakage of account information. Account Use: Users should keep their accounts and passwords properly and shall not lend, rent, or sell their accounts to others. The Platform will not be responsible for any losses caused by the leakage of account information or the use of the account by others due to the user's own reasons. Sellers should ensure that the product information published on the Platform is true, accurate, and complete, and shall not publish false or misleading information, nor infringe upon the legitimate rights and interests of others, such as intellectual property rights and trade secrets. Sellers shall be responsible for the operation of their stores, product sales, customer service, and other behaviors. Buyers should place orders for purchase in accordance with the Platform's rules and the seller's product description, and shall not place malicious orders or harass sellers, etc. After receiving the products, buyers should inspect them in a timely manner. If any problems are found with the products, they should negotiate with the sellers to solve them or file a complaint with the Platform in accordance with the procedures specified by the Platform. Account Freezing and Cancellation: If a user violates these Terms of Use, other policies and rules of the Platform, or laws and regulations, the Platform has the right to take measures such as warnings, restricting functions, freezing the account, and canceling the account according to the severity of the circumstances. Users have the right to apply for the cancellation of their own accounts, but they need to meet the cancellation conditions and procedures specified by the Platform. After the account is cancelled, all the user's data, transaction records, etc. on the Platform will be deleted or anonymized and cannot be restored. III. Product and Service Transaction Specifications Product Publishing: When publishing products on the Platform, sellers should comply with relevant laws and regulations and shall not publish products that are prohibited or restricted from being sold, such as dangerous goods, counterfeit and shoddy products, and infringing products. The product publishing content should include but not be limited to the product name, pictures, detailed description, price, specifications, place of origin, warranty period, and other necessary information, and ensure its authenticity, accuracy, and completeness. Sellers should classify and list products on the shelves according to the Platform's requirements and shall not abuse product categories, so as not to affect users' search and purchase experience. Product Price: Sellers have the right to set the product price independently, but should follow the principles of fairness, reasonableness, and good faith, and shall not maliciously raise the price or make false price reductions. The Platform has the right to supervise and intervene in abnormal price behaviors. The product price includes the price of the product itself, shipping fees, and other fees. Sellers should clearly indicate them on the product page and shall not hide or charge additional fees that have not been explicitly stated. Order Processing: After the buyer submits an order, the system will automatically generate an order number. The seller should confirm the order and arrange for shipment within the agreed time. If it is unable to ship on time, it should communicate with the buyer in a timely manner and obtain the buyer's consent. Otherwise, it will be regarded as the seller's breach of contract. Once the order is confirmed, the buyer shall not cancel it at will. If it is necessary to cancel the order for special reasons, the buyer should reach an agreement with the seller. If the buyer cancels the order due to his own reasons and causes losses to the seller, the buyer should bear the corresponding compensation liability. Product Delivery: Sellers should choose a reliable logistics method for shipping and fill in the logistics information on the Platform in a timely manner after shipping to ensure that buyers can inquire about the product's shipping status. In case of problems such as loss or damage during the product delivery process, the seller should negotiate with the logistics service provider to solve them and inform the buyer of the handling progress in a timely manner. When receiving the products, the buyer should inspect the products in person. If problems such as surface defects or inconsistent quantity are found, the buyer should refuse to sign for the products on the spot and contact the seller immediately; if the buyer refuses to sign for the products without justifiable reasons, the additional fees and losses arising therefrom shall be borne by the buyer. After-sales Service: Sellers should provide after-sales services to buyers in accordance with relevant laws, regulations, and the Platform's regulations, including but not limited to product return and exchange, quality warranty, etc. Product return and exchange should comply with the return and exchange policies formulated by the Platform. If there are quality problems with the products, the seller should bear the shipping fees for return and exchange; if it is not a quality problem of the products, the shipping fees for return and exchange shall be borne by the buyer. When enjoying after-sales services, buyers should truthfully describe the product problems and shall not deliberately damage the products or maliciously apply for after-sales services. For the buyer's malicious application for after-sales services, the seller has the right to refuse and report it to the Platform. IV. Payment and Settlement Payment Methods: The Platform provides a variety of payment methods for buyers to choose from, including but not limited to credit card payment, third-party payment, etc. When making a payment, the buyer should confirm the accuracy of the payment information and complete the payment operation according to the prompts of the payment platform. The buyer shall bear the responsibility for any payment problems caused by his own operation errors. Payment Security: The Platform will adopt a variety of technical means and security measures to ensure the security of the buyer's payment process. However, for payment risks caused by uncontrollable factors such as network security and the payment platform, the Platform will actively assist the buyer in handling them but will not bear the liability for compensation. The buyer should keep his payment account and password properly and avoid making payment operations in a public network environment. Settlement Rules: The Platform will settle the seller's transaction funds according to the agreed settlement cycle and method with the seller. The settlement amount will be deducted from relevant fees such as platform service fees and transaction handling fees. The specific settlement rules and fee standards shall be subject to the Platform's public announcement. Sellers should inquire about the settlement records in a timely manner. If there are any objections, they should apply to the Platform within the specified time. V. Intellectual Property and Privacy Protection Intellectual Property: The content published by users on the Platform, including but not limited to product pictures, text descriptions, reviews, etc., should ensure that it does not infringe upon the intellectual property rights of others. If the Platform suffers from third-party litigation or losses due to the user's infringement behavior, the user should bear all compensation responsibilities and have the obligation to assist the Platform in handling relevant disputes. The Platform owns the intellectual property rights of the Platform interface design, software programs, trademarks, trade names, etc. Without the written permission of the Platform, users shall not use, modify, copy, or disseminate them without authorization. Privacy Protection: The Platform attaches great importance to users' privacy rights and will collect, use, store, and protect users' personal information in accordance with the Privacy Policy. Without the user's consent, the Platform will not disclose the user's personal information to third parties, except as otherwise provided by laws and regulations or in necessary circumstances such as fulfilling these Terms of Use and ensuring the security of the Platform. VI. Dispute Resolution The interpretation and application of these Terms of Use shall be governed by the laws of the People's Republic of China (excluding the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan Region). If any disputes arise between the buyer and the seller, or between the user and the Platform, they should first be resolved through friendly negotiation; if the negotiation fails, either party has the right to file a lawsuit with the people's court having jurisdiction in the place where the Platform is located. VII. Miscellaneous Matters not covered in these Terms of Use shall be implemented in accordance with relevant laws and regulations and other policies and rules of the Platform. The invalidity or unenforceability of any provision of these Terms of Use shall not affect the validity of other provisions.
